These Terms of Service ("Terms") govern your access to and use of the Dan Tudorache & Co. website and any services provided by HUMAN PERFORMANCE RESEARCH SRL ("we", "us", "our"). By using the site or engaging our services, you agree to these Terms.

1. Services

We provide advisory, coaching, and done-for-you career and leadership services to senior corporate professionals. Specific deliverables, fees, and timelines for any paid engagement are set out in a separate Statement of Work or Engagement Agreement ("SoW") signed by both parties. In the event of a conflict between the SoW and these Terms, the SoW controls for that engagement.

2. No guarantee of outcomes (except as stated)

Career, search, and leadership outcomes depend on many factors outside our control - including market conditions, your engagement and effort, and decisions by third parties such as employers and recruiters. Except for the express Landing Guarantee described in your SoW (where applicable), we make no guarantee of any specific outcome, offer, role, compensation, or timeline.

3. Landing Guarantee (when applicable)

If your SoW for the Senior Landing Program™ includes a 180-day Landing Guarantee, it applies only when you: (a) attend every scheduled coaching session, (b) prepare for and attend every interview we coordinate, (c) follow the program's documented protocols in good faith, and (d) remain in active job search throughout. If, despite meeting these conditions, you do not receive at least one competitive offer within 180 days of program start, we will continue working with you at no additional fee until you do. The Guarantee does not provide a cash refund and is limited to continued service.

4. Payment

Fees are due as set out in your SoW. Unless otherwise stated, fees are non-refundable once an engagement has begun, except as required by mandatory consumer law or under the Landing Guarantee. Late payments may pause delivery and accrue interest at the maximum rate permitted by law.

5. Your responsibilities

You agree to provide accurate information, respond promptly to requests required for delivery, behave professionally, and act in good faith. We may pause or terminate an engagement for material breach of these obligations.

6. Confidentiality

We treat all information shared during an engagement as strictly confidential. We will not name you publicly or use your story in marketing without your prior written consent.

7. Intellectual property

All proprietary frameworks, templates, prompts, playbooks, and materials we share - including the Senior Landing Program™ and Leadership Identity Recode™ - are licensed to you for personal use during and after the engagement and may not be republished, resold, or used to train models without our prior written consent.

8. Disclaimers

The site and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not provide legal, financial, or medical advice.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the site, these Terms, or any engagement is limited to the fees actually paid by you to us for the engagement giving rise to the claim during the 12 months preceding the event. We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, opportunity, or reputation.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your misuse of the site, breach of these Terms, or violation of third-party rights.

11. Termination

Either party may terminate an engagement as set out in the SoW. We may suspend or terminate access to the site or services at any time for any reason, including for breach of these Terms.

12. Governing law and venue

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws principles. The state and federal courts located in New York County, New York shall have exclusive jurisdiction over any dispute arising out of or related to these Terms, except where mandatory consumer law gives you the right to bring proceedings in your country of residence.

13. Changes

We may update these Terms from time to time. Continued use of the site after a change constitutes acceptance of the revised Terms. Material changes affecting an active engagement will be communicated to you directly.
